Change in the management structure of a subsidiary of an international company
The client is a subsidiary of an international holding company. Among the management bodies of the client was a collegial Directorate, which included non-residents - managers of the holding. The client had difficulties with legalizing the work of non-residents in Ukraine, since Ukrainian legislation provides for a single form of work for a member of the LLC's management — an employment contract with the LLC.
Our lawyers suggested to the client to change the management structure of the company and introduce a Supervisory Board instead of a collective directorate. Bargen lawyers developed a new version of the charter, correctly distributed responsibilities between management bodies, organized the signing of the charter by representatives of the parent company, and accompanied the procedure of registration of the new version of the charter in Ukraine.
