Quite often in contractual relations, situations arise when the work performed by the contractor has defects or significant defects, which the contractor refuses to eliminate at his own expense, or to eliminate at all, or simply ignores the relevant requirements of the customer. In such cases, the practice is common when the customer engages another contracting organization to eliminate identified deficiencies and subsequently claims to the previous contractor for compensation of costs (recovery of losses) incurred by him in connection with the involvement of another contractor.<\/span><\/p>

Indeed, provisions of current legislation provide for such a right of the customer. According to the provisions of Part 1 of Art. 852 of the Civil Code of Ukraine, if the contractor has allowed defects in the work, the customer has the right to correct them at his own expense with the right to reimbursement of his expenses for correcting the defects or a corresponding reduction of the fee for the work, unless otherwise stipulated by the contract.<\/span><\/p>

And Part 1 Art. 858 of the Civil Code of Ukraine stipulates that if the work was performed by the contractor with deviations from the terms of the contract, which worsened the work, or with other defects that make it unsuitable for use in accordance with the contract or for the usual use of work of this nature, the customer has the right, unless otherwise established by contract or by law, at its option, demand from the contractor, including reimbursement of its costs for eliminating defects, if the customer's right to eliminate them is established by the contract.<\/span><\/p>

However, in order to effectively realize his right to reimbursement of incurred expenses (real losses) and to obtain a positive result, the customer must follow a number of actions, which will be briefly discussed below, even before engaging another contractor. <\/i><\/em><\/span><\/p>

First of all, it is important to settle in detail the issue of eliminating identified deficiencies in the contract. <\/i><\/b><\/em><\/strong>Thus, when entering into a contract, the contract should provide for a clear and detailed procedure for the parties to take action in the event of defects\/hidden defects, the procedure for drawing up acts on defects, provisions for determining the deadlines for removing defects, and the consequences of the contractor's refusal or ignoring of requirements to remove defects. It is also necessary to stipulate in the contract the right of the customer to eliminate defects at his own expense or by involving third parties to eliminate such defects.<\/span><\/p>

\u00a0<\/b><\/strong><\/span>Secondly, it is mandatory to declare the identified deficiencies in time and in the manner determined by the contract or regulations of the current legislation. <\/i><\/b><\/em><\/strong>According to the general provisions of the law, the customer is obliged to accept the work, inspect it and, in the event of defects, immediately report them to the contractor.\u00a0If the customer does not make such a statement, he loses the right to further refer to deficiencies in the work performed<\/b><\/strong>. In addition, the customer who accepted the work without inspection is deprived of the right to refer to the defects of the work that could have been established in the usual way of its acceptance (obvious defects).<\/span><\/p>

With regard to hidden defects (deficiencies that could not be established by the usual method of its acceptance), the customer is also obliged to immediately notify the contractor of their discovery.<\/span><\/p>

As judicial practice shows, non-compliance with the procedure for notification of defects is already a sufficient reason for refusing the customer a claim for damages.<\/span><\/p>

Thirdly, it is necessary to adhere to the procedure for registration of identified deficiencies defined by the contract<\/i><\/b><\/em><\/strong>\u00a0and sending a request to the contractor for their elimination.<\/i><\/b><\/em><\/strong>\u00a0It is important to establish the causes of defects and their connection with the performed works, a detailed list of identified defects, compliance with the procedure for drawing up a defective report\/defect report with a mandatory invitation to the contractor for this, as well as determining a detailed list and cost of works and materials required to eliminate deficiencies, setting deadlines for such elimination.<\/span><\/p>

According to the provisions of the Central Committee of Ukraine, in the event of a dispute between the customer and the contractor regarding the shortcomings of the work performed or their causes, an examination must be appointed at the request of either of them. At the same time, as evidenced by current judicial practice, it is important to conduct an examination not only in the event of a dispute between the parties regarding deficiencies, but also when the contractor ignores notices of deficiencies and invitations to draw up relevant acts, since drawing up acts of deficiencies by the customer independently or with the involvement of third-party organizations can not be sufficient to recover damages in court.<\/span><\/p>

In such cases, the conclusion of the forensic construction and technical examination will be the proper proof of the admission of the relevant deficiencies, the cause of their occurrence, and the real cost of their elimination. At the same time, such a conclusion must contain information not only about established deficiencies and non-compliance of works with the terms of the contract, but also about the cost of works and materials necessary to eliminate such deficiencies, i.e., in fact, the conclusion must establish the real amount of damages caused by poor performance of works.<\/span><\/p>

After carrying out all the necessary procedures (drawing up documents, obtaining conclusions), the contractor who ignores the resolution of the issue or refuses to eliminate the deficiencies on his own must send a written request to eliminate the deficiencies and notify the consequences of failure to comply with such a request.<\/span><\/p>

Separately, we would like to point out that it is quite common to make a mistake regarding the conclusion of a contract with another contracting organization for the performance of works to eliminate established deficiencies even before the customer addresses the previous contractor with a final demand to eliminate deficiencies and informs him that in case of refusal to eliminate deficiencies, such deficiencies will be eliminated by the customer independently, including by involving another contracting organization with the further imposition of incurred costs (losses) on the contractor.<\/span><\/p>

Before engaging another contractor to perform work to eliminate defects, it is important to give the previous contractor the opportunity (time) to fulfill his obligation to eliminate defects, otherwise it may become an independent refusal to satisfy a claim for recovery of damages.<\/span><\/p>

Summarizing<\/i><\/b><\/em><\/strong>,<\/i><\/b><\/em><\/strong>\u00a0it should be noted that in order to recover damages from an unscrupulous contractor it is important to prove and confirm <\/i><\/b><\/em><\/strong>the presence of all elements of the composition of the offense, which is a necessary condition for holding the contractor liable in the form of recovery of damages<\/i><\/b><\/em><\/strong>, namely: illegal behavior (action or inaction of a person); the contractor, the harmful result of such behavior in the form of real losses; causal relationship between illegal behavior and damages; the fault of the contractor.<\/span><\/p>

In such categories of cases, the illegality of the contractor's behavior will consist in the violation of obligations under the contract regarding the quality of the work performed (non-compliance with technical conditions, DSTU, technological maps, requirements for the quality of materials, etc.). The causal connection between the illegal behavior of the contractor and the damages will be expressed in the fact that due to the failure of the contractor to fulfill his obligations regarding the proper quality of work, the customer cannot use the results of the work as intended or bears other negative consequences, and therefore is forced to bear expenses for elimination of admitted deficiencies. Establishing the actual cost of materials and works, as well as their clear list, necessary to eliminate deficiencies, will testify to the reality of costs (damages).<\/span><\/p>

It is compliance with the conditions listed in clauses 1-3 of this article that will help the customer to prove the presence of all the elements of an offense in the contractor's actions and to recover from the unscrupulous contractor the cost incurred (actual damages).<\/span><\/p>

In fact, the specified categories of cases and legal relations under subcontracts have quite a lot of specific points and nuances, and it is impossible to fully describe them within the framework of one article. Given the complexity of such cases, we recommend getting legal support both at the stage of concluding subcontracts and when controversial issues arise regarding the fulfillment of obligations under already concluded contracts.<\/span><\/p>
